OpenAI confirmed on Monday, June 8, that it has confidentially submitted an S-1 draft registration statement to the U.S. Securities and Exchange Commission for an initial public offering. The disclosure, made via the company's official newsroom account, followed a series of recent IPO-related moves in the technology and artificial intelligence sectors, including filings reported from SpaceX and Anthropic.
In its post, OpenAI stated, "We recently submitted a confidential S-1. We expect it to leak so we're just announcing it." The company added that it has not decided on a specific timing for the public offering, writing that "it may be a while because there are things we want to do that are likely easier as a private company." OpenAI also noted that "it's a complicated set of tradeoffs and this gives us the option to go public sooner if that ends up being best."
